欢迎使用一键大卖（OneClickSell，“本服务”）。本《服务条款》（“本条款”）构成您与 Meridian Flow Inc（“我们”）之间的具有法律约束力的协议。您访问或使用本服务，即表示您已阅读并同意本条款与我们的《隐私政策》。
Welcome to OneClickSell (the “Service”). These Terms of Service (“Terms”) form a legally binding agreement between you and Meridian Flow Inc (“we”). By accessing or using the Service, you agree to these Terms and our Privacy Policy.

If you do not agree: please do not use the Service. If you use the Service on behalf of an organization, you represent you have authority to bind it.

本服务为跨境电商自动化工具，可能包含：商品采集、内容生成（文本/图片/富文本）、类目与属性映射、店铺绑定、发布/同步、资产管理、计费与客服支持等功能。我们可能不时新增、修改或下线部分功能。
The Service provides cross-border e-commerce automation tools, including product collection, AI generation (text/images/rich content), category/attribute mapping, store binding, publishing/sync, asset management, billing, and support. We may add, modify, or discontinue features.
3. 账号与安全 3. Accounts & Security
- 账号真实性：您应提供真实、准确、完整的信息，并及时更新。
- 安全：您应妥善保管账号与登录凭证，对账号下的一切活动负责。
- 异常：如发现未授权访问、泄露或安全事件，请立即联系我们。
- Accurate information: provide truthful and up-to-date account information.
- Security: safeguard your credentials and you are responsible for activities under your account.
- Incidents: notify us promptly of unauthorized access or security events.
4. 计费与退款 4. Billing & Refunds
本服务可能提供免费额度与付费功能（例如订阅、积分充值等）。具体价格、套餐与权益以页面展示为准。支付通常由第三方支付机构处理。
The Service may offer free quotas and paid features (subscriptions, credit top-ups). Pricing and entitlements are shown on the relevant pages. Payments are typically processed by third-party providers.
- 税费：您应自行承担因购买或使用服务产生的税费（如适用）。
- 退款：除非法律另有规定或我们另行明确承诺，已消费的积分/已提供的服务通常不支持退款。
- 争议：如发生扣款异常或对账问题，请先通过客服联系，我们会协助核对。
- Taxes: you are responsible for applicable taxes.
- Refunds: unless required by law or explicitly promised by us, consumed credits/services are generally non-refundable.
- Billing disputes: contact support first for reconciliation and resolution.
5. 用户内容与授权 5. Your Content & License
“用户内容”包括您上传、采集、导入或在本服务中生成、编辑并用于发布的商品图片、文本、商标/品牌信息、属性等。您声明并保证：您拥有或已获得处理与使用用户内容所需的全部权利与授权，且不侵犯任何第三方的合法权益。
“User Content” includes product images, text, brand/trademark information, attributes, and other materials you upload, collect, import, generate, or edit through the Service. You represent you have all rights and permissions necessary and that your User Content does not infringe third-party rights.
为提供服务之目的，您授予我们在全球范围内、非独占、免版税的许可，以处理、存储、复制、转换与展示用户内容（包括将其提交给第三方 AI 服务或第三方平台接口），该许可仅限于履行您指令与提供服务之必要范围。
To operate the Service, you grant us a worldwide, non-exclusive, royalty-free license to process, store, copy, transform, and display User Content (including submitting it to third-party AI providers or marketplace APIs) solely as necessary to provide the Service and follow your instructions.
6. AI 输出与责任 6. AI Outputs
本服务可能基于 AI 生成内容或自动填充属性。AI 输出仅供参考，不构成任何保证。您应在发布前进行审核与合规检查（包括但不限于：平台规则、广告法、知识产权、进出口合规等）。
The Service may generate AI outputs and auto-fill attributes. AI outputs are for reference only and provided without warranties. You must review and ensure compliance before publishing (including marketplace rules, advertising laws, IP, import/export compliance).
提示：不同平台（例如 Ozon）对类目、属性、图片与富文本有严格规则。您对最终发布结果、被平台拒绝/下架/处罚等后果承担责任。
Note: Marketplaces (e.g., Ozon) enforce strict rules on categories, attributes, images, and rich content. You are responsible for final publishing outcomes and any rejections, takedowns, or penalties.
7. 第三方平台与合规 7. Third-Party Platforms & Compliance
- 第三方条款：您使用第三方平台（如 1688、Ozon 等）须遵守其条款与政策。我们不对第三方平台的可用性、政策变化或接口限制负责。
- 凭证安全：您应确保提交的 API 凭证合法有效，仅用于您的店铺，并妥善管理授权范围。
- 数据合规：您应确保采集、上传与发布的数据来源合法，且已获得必要授权。
- Third-party terms: your use of platforms (e.g., 1688, Ozon) is subject to their terms/policies. We are not responsible for third-party availability or changes.
- Credential security: you must provide lawful and valid API credentials for your own stores and manage permissions appropriately.
- Compliance: you are responsible for ensuring lawful sources and necessary rights for data you collect/upload/publish.
8. 禁止行为 8. Prohibited Uses
您不得：
You must not:
- 将本服务用于任何违法用途或协助他人违法。
- 上传、生成或发布侵权、虚假、欺诈、违法、暴力、色情或其他不当内容。
- 反向工程、绕过安全措施、批量爬取/滥用接口、干扰服务稳定性。
- 未经授权转售、出租、分发本服务或以任何形式提供“代运营/转售”服务。
- Use the Service for unlawful purposes or to facilitate illegal acts.
- Upload/generate/publish infringing, false, fraudulent, illegal, violent, pornographic, or otherwise improper content.
- Reverse engineer, bypass security, abuse APIs, or disrupt service stability.
- Resell, rent, or redistribute the Service without authorization.
9. 知识产权 9. Intellectual Property
除用户内容外，本服务及其相关的软件、界面、商标、文档与模型编排等均归我们或相关权利人所有。未经授权，您不得复制、修改、传播或用于竞争性用途。
Except for User Content, the Service and related software, UI, trademarks, documentation, and model orchestration are owned by us or licensors. You may not copy, modify, distribute, or use them for competitive purposes without authorization.
10. 免责声明与责任限制 10. Disclaimers & Limitation of Liability
在法律允许的最大范围内，本服务按“现状”提供，我们不对服务的连续性、无错误、特定用途适用性、AI 输出准确性或第三方平台的结果作出保证。
To the maximum extent permitted by law, the Service is provided “as is” without warranties. We do not guarantee uninterrupted or error-free operation, fitness for a particular purpose, AI output accuracy, or third-party platform outcomes.
在法律允许的最大范围内，我们不对间接损失、利润损失、商誉损失、数据丢失、第三方处罚等承担责任。我们的累计责任以您在相关事件发生前 12 个月内实际支付给我们的金额为上限（除非适用法律另有规定）。
To the maximum extent permitted by law, we are not liable for indirect/consequential damages, lost profits, goodwill, data loss, or third-party penalties. Our aggregate liability is limited to amounts paid by you to us in the 12 months preceding the event, unless required otherwise by applicable law.
11. 终止 11. Termination
如您违反本条款、法律法规或对服务造成风险，我们可暂停或终止向您提供服务。您可随时停止使用本服务。终止后，您使用本服务的权利立即停止。
If you violate these Terms or applicable laws or pose risks to the Service, we may suspend or terminate your access. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately.
12. 争议解决 12. Dispute Resolution
本条款的解释与适用应遵守我们注册地（通常为美国特拉华州）相关法律（不含冲突法规则）。如发生争议，我们建议先友好协商解决；协商不成的，双方可向有管辖权的法院提起诉讼（如适用法律允许）。
These Terms are governed by the laws of our place of incorporation (typically Delaware, USA), without regard to conflict-of-law rules. We encourage resolving disputes through good-faith negotiation first; if unresolved, disputes may be brought to courts of competent jurisdiction where permitted by law.
